Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Nock ("Nock," "we," "us," or "our"), a messaging-first project coordination service for general contractors operated at proto1-ruddy.vercel.app. By creating an account or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using Nock you represent that you meet these requirements and that, if you are using Nock on behalf of a business, you have authority to bind that business to these Terms.
3. Your Account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at david@nocktheapp.com if you believe your account has been accessed without your permission.
4. SMS Messaging and Recipient Consent
If you use Nock to send SMS messages to subcontractors, clients, or other recipients, you represent and warrant that:
- You have obtained all required consent from each recipient before adding their phone number to Nock or sending them messages through the Service;
- Your use of SMS through Nock complies with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, applicable state laws, and the messaging policies of mobile carriers, including 10DLC and A2P registration requirements;
- You will honor opt-out requests, including replies of STOP or equivalent language, promptly and permanently;
- You will not use Nock to send spam, unsolicited marketing messages, deceptive content, or any content prohibited by carrier or Twilio acceptable use policies; and
- You will not impersonate any person or business in messages sent through the Service.
You are solely responsible for the content of messages you send through Nock and for any consequences of those messages. Nock is not the sender of messages you originate and is not responsible for ensuring that you obtain recipient consent.
5. Acceptable Use
You agree that you will not, and will not allow others to:
- Violate any law, regulation, or third-party rights;
- Upload, transmit, or store content that is unlawful, infringing, defamatory, harassing, hateful, sexually explicit, or otherwise harmful;
- Send spam, phishing messages, or unsolicited marketing communications;
- Attempt to gain unauthorized access to the Service, other accounts, or related systems;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent that such restriction is prohibited by law;
- Interfere with or disrupt the operation of the Service or its infrastructure; or
- Use the Service to build a competing product.
6. AI Features and Outputs
The Service uses artificial intelligence to summarize communications, prioritize actions, suggest update requests, and generate other content based on the information you provide. AI outputs may be inaccurate, incomplete, or out of date. You are responsible for reviewing AI-generated content before relying on it, and you should not treat AI outputs as professional advice (legal, financial, construction, or otherwise).
You retain ownership of the content you provide to the Service. You grant Nock a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display that content solely to operate, secure, and improve the Service for you.
7. Fees and Paid Access
Nock is currently provided without charge. We reserve the right to introduce paid plans, fees, or subscription tiers in the future. If we do, we will provide notice before any charges begin, and your continued use of paid features after that notice will constitute acceptance of the applicable fees and billing terms.
8. Third-Party Services
The Service relies on third-party providers, including Twilio, Supabase, Anthropic, and Vercel. Your use of the Service is also subject to those providers' applicable terms. We are not responsible for the acts or omissions of third-party providers, and their availability is outside our control.
9. Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by Nock or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. We reserve all rights not expressly granted.
10. Feedback
If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction and without compensation to you.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. Upon termination, the provisions that by their nature should survive will survive, including ownership, disclaimers, indemnification, and limitations of liability.
12. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, Nock disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or that messages will be delivered without delay or loss.
13. Limitation of Liability
To the maximum extent permitted by law, Nock and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) one hundred US dollars (US$100) or (b) the amount you paid us in the twelve months preceding the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless Nock and its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your content, (c) your violation of these Terms or any law, or (d) your violation of any third-party right, including failure to obtain consent before sending SMS messages.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Effective" date at the top of this page and, for material changes, provide additional notice through the Service or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
17. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nock regarding the Service. If any provision is held to be unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them freely.
